NO COST TO REGISTER; NO OBLIGATION TO PURCHASE:

Register with the New York Yankees (the "Yankees") at www.yankees.com to be considered for an opportunity to purchase up to two (2) Tickets to the 2008 Major League Baseball ("MLB") Gatorade Workout Day (featuring the State Farm Home Run Derby) (the "Home Run Derby") or the 79th MLB All-Star Game (the "All-Star Game") scheduled to be held at Yankee Stadium (the "Stadium") on July 14, 2008 and July 15, 2008, respectively. There is no cost to register to be considered for the opportunity to purchase Tickets to either the Home Run Derby or All-Star Game. There is no obligation to purchase any Tickets. You may register only once and must register between 12:00 noon EDT, April 29, 2008 and 10:00 p.m. EDT, June 15, 2008 (the "Registration Period"). Registrations have no cash value. Odds of an online registrant being selected for the opportunity to purchase Tickets depend upon the number of registrations. The dates and times of the Home Run Derby and All-Star Game are determined in the sole discretion of the Office of the Commissioner of Baseball and are subject to change.

CAN I PARTICIPATE?
This registration is open to all legal residents of the United States, the District of Columbia, and U.S. Military personnel (and their families) with APO/FPO addresses, who are eighteen (18) years of age or older at the time of registration. Participation in this registration constitutes registrant's full and unconditional acceptance of these Official Rules.

HOW DO I REGISTER?
Access the Yankees' website (www.yankees.com) during the Registration Period and register to be considered for the opportunity to purchase Tickets by following the instructions on the web site. Complete the registration form and click to submit during the Registration Period. Each person may only register once, regardless of the number of e-mail addresses the online registrant may have.

WHAT HAPPENS AFTER I REGISTER?
An online Drawing will take place on June 16, 2008, at which time certain online registrants will be selected for the opportunity to purchase, online, up to two (2) Tickets to either the Home Run Derby or the All-Star Game that are scheduled to be held at the Stadium on July 14, 2008 and July 15, 2008, respectively. The opportunity to purchase Tickets will only take place on June 23, 2008, - the Onsale Date.

Online registrants who are selected as a result of the June 16, 2008 online Drawing will receive an e-mail notification that includes a password and instructions for participating in the opportunity to purchase Tickets. If the selected registrant chooses to purchase Tickets, the purchase must be completed online, while Tickets are available, but in no event later than 10:00 p.m. (EDT), June 23, 2008. NOTE: There is no obligation for a selected online registrant to purchase any Tickets.

PURCHASE:
To complete a purchase transaction online, beginning at 10:00 a.m. (EDT) and ending at 10:00 p.m. (EDT) on June 23, 2008, each registrant will be required to first either: (a) create a new Ticketmaster account; or (b) login using an existing "My Ticketmaster" account. If you already have a "My Ticketmaster" account, please use your existing "My Ticketmaster" account and associated e-mail address and password to login. If the registrant is not sure of the "My Ticketmaster" account login and password, please contact Ticketmaster or follow the Ticketmaster online instructions for "Forgot Password." Only the person registered is eligible to purchase Tickets using the password issued by Ticketmaster. Passwords are non-transferable. When purchasing Tickets, the registrant must use the same information provided on www.yankees.com at the time of registration (i.e., name, address and e-mail address). Ticketmaster will conduct a credit card verification to confirm that all information provided at the time of registration matches with the credit cardholder's information as verified by the relevant credit card company.

Orders exceeding the Ticket purchase limit (i.e., two (2) Tickets to either the Home Run Derby or the All-Star Game) or not confirmed based on incorrect registration contact information or any credit card verification issue will be canceled without contact from Ticketmaster or the Yankees.

REMAINING TICKETS:
If any Tickets remain unsold after 10:00 p.m. (EDT) on June 23, 2008, they will be made available for purchase to the general public, online only, at www.yankees.com beginning at 10:00 a.m. (EDT), June 25, 2008.

RAINOUTS/POSTPONEMENTS:
If the event for which Tickets were purchased is officially rained out or postponed, rescheduling information (if any), including any rescheduled dates, times or any other information will be available in the following media: (a) major local newspapers; (b) the YES NETWORK, MY 9, WCBS 880 AM and/or WFAN 660 AM; and (c) www.yankees.com or www.allstargame.com. MAKE SURE YOU RETAIN YOUR ENTIRE TICKET AS SUCH TICKET WILL SERVE AS A RAINCHECK.

RIGHT TO CANCEL:
In the event that the operation, security, or integrity of this registration is impaired in any way for any reason, including fraud or technical problem, the Yankees may, in its sole discretion, either (a) suspend this registration to address the impairment and then resume the registration; or (b) select registrants at random from among the eligible registrants received up to the time of the impairment.

LIMITATION OF LIABILITY:
If a selected registrant declines to purchase Tickets, or in the event that any notification is returned as undeliverable, the selected registrant will be disqualified and the Yankees may elect, at its own discretion, to select an alternate registrant. By participating, registrants release the New York Yankees Partnership, its parent, subsidiaries, affiliated businesses, its advertising and promotional agencies and the general and limited partners, direct and indirect owners, members, officers, directors, employees and agents of each (however named or described, the "Yankees Entities") from any and all liability, damages or causes of action for injuries, damages or losses to persons and property which may be sustained in connection with receipt, enjoyment, or use of the Tickets or participation in the registration. The Yankees Entities are not responsible for: (a) any incorrect or inaccurate information, whether caused by registrants, printing errors or by any of the equipment or programming associated with or utilized in the registration process; (b) technical failures of any kind, including but not limited to the malfunctioning or unavailability of any computer, cable, network, hardware, software, Internet service or website; (c) unauthorized human intervention in any part of the registration process, drawings, determination of selected winners, the Onsale, the opportunity to purchase Tickets or any Tickets purchased; (d) technical or human error which may occur in the administration of this registration process, drawings, determination of selected winners, the Onsale, the opportunity to purchase Tickets or any Tickets purchased; or (e) any injury or damage to persons or property, including but not limited to registrant's computer, hardware or software, which may be caused, directly or indirectly, in whole or in part, from registrant's participation in the registration process, drawings, determination of selected winners, the Onsale, the opportunity to purchase Tickets or any Tickets purchased. The registrant acknowledges that except and to the extent that the Yankees Entities cannot by law exempt itself from responsibility or liability, the Yankees Entities have neither made nor are in any manner responsible or liable for any warranty, representation, or guarantee described herein; including, but not limited to, the availability of any Tickets for purchase. Tickets cannot be assigned, transferred, exchanged or redeemed for cash.

All Internet access and usage charges are the responsibility of the online registrant. If, for any reason, the Internet portion of the registration process is not capable of running as planned, including infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failure, or any other cause which corrupts or affects the administration, fairness, integrity or proper conduct of the registration process, the Yankees reserves the right, in its sole discretion, to disqualify any individual who tampers with the registration process and/or terminate, modify or suspend the registration process. All registrations received online before the online portion becomes inoperable will be included in the online Drawing. The Yankees assumes no responsibility for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft, destruction, unauthorized access to or alteration of entries. The Yankees is not responsible for any problems or technical malfunctions of any cable network or lines, telephone network or lines, computer online systems, servers or providers, computer equipment, hardware or software, failure of any e-mail or registration to be received by the Yankees on account of technical problems, human error or traffic congestion on the Internet or at any web site, or any combination thereof, including any injury or damage to registrant's or any other person's computer related to or resulting from participation in the registration. In the event of a dispute, eligible electronic registrations will be considered made by the authorized account owner of the e-mail address submitted at the time of registration. Furthermore, in the event of a dispute as to the identity of a selected registrant based on an e-mail address, the authorized account holder of the e-mail address that submitted the registration first will be declared the selected registrant. "Authorized Account Holder" is defined as the person who is assigned the e-mail address by an internet service provider, online service provider or other organization (e.g., business, educational institution, etc.) that is responsible for assigning e-mail addresses for the domain associated with the submitted e-mail address. Registrations generated by robots or scripts will result in immediate disqualification of any and all associated registrations. The Yankees are not responsible for printing errors in these Official Rules.

CAUTION: ANY ATTEMPT BY ANY PERSON TO DELIBERATELY DAMAGE ANY WEB SITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE REGISTRATION PROCESS IS IN VIOLATION OF CRIMINAL AND CIVIL LAWS AND, SHOULD SUCH AN ATTEMPT BE MADE, THE YANKEES RESERVES THE RIGHT TO SEEK DAMAGES FROM ANY SUCH PERSON TO THE FULLEST EXTENT PERMITTED BY LAW.

DISPUTES:
Except where prohibited, each registrant agrees that: (a) any and all disputes, claims and causes of action arising out of or connected with this registration process, drawings, determination of selected winners, the Onsale, the opportunity to purchase Tickets or any Tickets purchased shall be resolved individually, without resort to any form of class action, and exclusively by the United States District Court located in the Southern District of New York or State of New York court located in Bronx County; (b) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with registering, but in no event attorney's fees; and (c) under no circumstances will any registrant be permitted to obtain awards for, and registrants hereby waive all rights to claim, punitive, incidental and consequential damages and any other damages, other than for actual out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligation of the registrants and the Yankees in connection with the registration process, drawings, determination of selected winners, the Onsale, opportunity to purchase Tickets or any Tickets purchased, shall be governed by and construed in accordance with the laws of the State of New York without giving effect to any choice of law or conflict of law rules (whether of the State of New York or any other jurisdiction), which would cause the application of the laws of any jurisdiction other than the State of New York.

RESALE OF TICKETS:
Any direct or indirect sale, resale, auction, assignment or transfer (collectively, "resale") of Tickets must be done in accordance with applicable law. Any resale in violation of applicable law constitutes a material breach of this License. Any attempt by two or more persons to gain admission to the Home Run Derby or the All-Star Game with both a cancelled Ticket and the reissued Ticket will constitute a material breach of this Agreement. New York State law prohibits the resale of any Tickets within one thousand five hundred feet from the physical structure of the Stadium under penalty of law. No Tickets may be used for advertising, promotion, including contests, giveaways or sweepstakes, or other trade or commercial purposes without the express written consent of the Yankees or MLB. The use of any Ticket or commercial or other transactions involving any Ticket in violation of this Agreement, with or without the knowledge of the Licensee, is the sole responsibility of the Licensee, who shall remain unconditionally responsible for any violation of the License and any material breach of this Agreement. Accordingly, the Licensee should control and supervise the use of all Ticket(s) so that the License is not violated and the Agreement is not materially breached. The Yankees and MLB each reserve the right to investigate any violation and/or alleged violation of the License. The failure of the Licensee or any person in possession of any Ticket to cooperate with any investigation constitutes a material breach of the License.

WARNINGS:
WARNING: DURING ALL BATTING PRACTICES, FIELDING PRACTICES, WARM-UPS AND THE COURSE OF THE ALL-STAR GAME AND HOME RUN DERBY EXPERIENCES, HARD HIT BASEBALLS AND BATS AND FRAGMENTS THEREOF MAY BE THROWN OR HIT INTO THE STANDS. FOR EVERYONE'S SAFETY, PLEASE STAY ALERT AND BE AWARE OF YOUR SURROUNDINGS. ANY GUEST WHO IS CONCERNED WITH HIS OR HER SEAT LOCATION SHOULD CONTACT ANY CUSTOMER SERVICE REPRESENTATIVE FOR AN ALTERNATE SEAT LOCATION. TIME, DATE, ROSTERS AND LINEUPS ARE SUBJECT TO CHANGE. The bearer of a Ticket assumes all risk and danger incidental to the sport of baseball and all warm-ups, practices, exhibitions and competitions associated with baseball, including specifically (but not exclusively) the danger of being injured by thrown bats, fragments thereof, and thrown or batted balls and agrees that neither the Office of the Commissioner of Baseball, MLB Enterprises, Inc., MLB Properties, Inc., MLB Advanced Media, L.P., the Major League Clubs, nor any of their respective agents, players, officers, employees and owners shall be liable for injuries or loss of personal property resulting from such causes.

ENTERING THE PLAYING FIELD, DISRUPTING THE ALL_STAR GAME OR HOME RUN DERBY AND/OR ATTEMPTING ANY PHYSICAL CONTACT WITH AN ALL-STAR GAME OR HOME RUN DERBY PARTICIPANT IS A CRIME PUNISHABLE BY FINE AND/OR IMPRISONMENT, AS WELL AS A CIVIL PENALTY OF UP TO $25,000. VIOLATORS WILL BE PROSECUTED TO THE FULLEST EXTENT OF THE LAW.
