Dear Yankees Fan:

On July 15, 2008, the best players in Major League Baseball ("MLB") will provide "The House That Ruth Built" with an All-Star send-off when the New York Yankees (the "Yankees") host MLB's 79th Midsummer Classic. This year marks the first time that the All-Star Game will be held in a ballpark celebrating its final season.

The 2008 All-Star Game will be the fourth one held at Yankee Stadium (the "Stadium") and the eighth time that New York City has welcomed the event. No other stadium or ballpark has hosted more All-Star Games. The Stadium previously hosted the Midsummer Classic in 1939, 1960, and 1977.

In celebration of MLB's All-Star Summer '08, New York City will host five action-packed days of events. MLB's biggest stars will descend on New York City for what will truly be a magical experience for all baseball fans but, more importantly, all Yankees fans. The All-Star Summer Events are scheduled to begin on Friday, July 11, 2008 at the Jacob K. Javits Center with the opening of the DHL All-Star FanFest - the largest interactive baseball spectacular event in the world, which provides fans of all ages a once-in-a-lifetime chance to experience 40 interactive actions and includes appearances from MLB Legends.

Following the DHL All-Star FanFest are the Taco Bell All-Star Sunday (featuring the XM All-Star Futures Game and the Taco Bell All-Star Legends & Celebrity Softball Game) scheduled for Sunday July 13, 2008 and the Gatorade All-Star Workout Day (featuring the State Farm Home Run Derby) scheduled for Monday, July 14, 2008. MLB's All-Star Summer '08 concludes with the MLB All-Star Game Red Carpet Parade presented by Chevrolet leading to the 79th MLB All-Star Game scheduled for Tuesday, July 15, 2008.

Given the importance of these events to our loyal Ticket Plan Licensees ("Licensees"), MLB and the Yankees will use commercially reasonable business efforts to offer season ticket holders the opportunity to purchase Tickets for all events during the MLB All-Star Summer '08. All Tickets are subject to availability. For information about Tickets to the 79th MLB All-Star Game and other All-Star Summer Events, please review the enclosed literature or simply visit www.yankees.com, which contains important information including the payment deadline date of Friday, May 23, 2008.

In addition to the All-Star Game, the 2008 baseball season marks a very significant period in the history of our storied franchise - it is the final season the Yankees will take the field at "The House That Ruth Built." To share this exciting time with our fans, we will continue to unveil new plans, renderings, photographs and virtual tours of our new home…the new Yankee Stadium, which will quickly become a baseball landmark. As the construction unfolds, you will undoubtedly see how the New Yankee Stadium captures the memories of the venerable original Stadium and provides a bridge linking Yankees greats of the past with the stars of today.

While you will certainly notice many new, exciting and significant upgrade in the new Yankee Stadium that will make you proud to be with us at every game, a few constants will not change - our historic address at 161st Street and River Avenue, Bronx, New York and our dedication to excellence. As you will see in the coming months, we have made certain that the new Yankee Stadium will feature the finest state-of-the-art amenities, while maintaining the look and feel of the current Stadium and embodying the celebrated history, tradition and majesty you expect as a loyal fan of the greatest professional sports team.

All-Star Summer Events Tickets constitute revocable licenses (the "License") offered by Major League Baseball ("MLB") and the New York Yankees (the "Yankees"). The License is subject to the terms and conditions set forth: (a) on the back of each Ticket; (b) on any Ticket invoice; (c) on www.yankees.com and www.allstargame.com; and (d) the terms and conditions set forth below. Receipt by MLB or the Yankees of payment for the Tickets constitutes acceptance of the License pursuant to the foregoing terms and conditions.

2008 Major League Baseball All-Star Summer Tickets

Existing Full Season, A Plan and B Plan Ticket Licensees (2007 Season and prior): MLB and the Yankees will use commercially reasonable business efforts to offer the following Licensees the opportunity to purchase a certain number of entire full strips of Tickets to all All-Star Summer Events: Full Season, A Plan and B Plan Licensees who have purchased such Ticket Licenses for the 2007 Season and who have maintained their Ticket License during the 2008 Season. The foregoing opportunity will not permit Licensees to purchase individual All-Star Summer Event Tickets – the entire full strip must be purchased. Each full strip of Tickets will include one (1) Ticket to each of the following All-Star Summer Events at Yankee Stadium: (a) the Taco Bell All-Star Sunday, (featuring the XM All-Star Futures Game and the Taco Bell Legends & Celebrity Softball Game) scheduled for Sunday, July 13, 2008; (b) the Gatorade Workout Day (featuring the State Farm Home Run Derby) scheduled for Monday, July 14, 2008; and (c) the 79th MLB All-Star Game scheduled for July 15, 2008. Each such Licensee will be limited to purchasing that number of full strips of Tickets that is equal to the number of Tickets in such Licensee’s Full Season, A Plan or B Plan (as applicable) as and when such full strips of Tickets become available at such prices and on such other terms, conditions and procedures as may be determined by the Yankees and/or the Office of the Commissioner of Baseball (each in its sole and absolute discretion). NOTE: THE SEATING LOCATIONS FOR ALL-STAR SUMMER EVENTS AT YANKEE STADIUM MAY NOT BE THE SAME SEATING LOCATIONS AS LICENSEE’S FULL SEASON, A PLAN OR B PLAN TICKETS. The foregoing opportunity to purchase full strip(s) of Tickets is contingent upon such Licensee also purchasing certain DHL All-Star FanFest Tickets and All-Star Programs as set forth below. All Tickets are subject to availability.

DHL All-Star FanFest Tickets and All-Star Program: All Full Season, A Plan and B Plan Licensees identified above must purchase a minimum of two (2) Tickets to the DHL All-Star FanFest and one (1) All-Star Program for each full strip of Tickets purchased for All-Star Summer Events. For example, if such Licensee purchases four (4) full strips of Tickets for All-Star Summer Events, such Licensee must also purchase eight (8) DHL All-Star FanFest Tickets and four (4) All-Star Programs.

C Plan through I Plan, the 20-Game Flex Plan and new 2008 Full Season, A Plan and B Plan Licensees: MLB and the Yankees will use commercially reasonable business efforts to offer the following Licensees, based on each Ticket Account held by such Licensees, the opportunity to purchase All-Star Summer Event Tickets prior to any scheduled All-Star Ticket On-Sale to the general public (the “All-Star Pre-On-Sale”): C Plan through I Plan, the 20-Game Flex Plan and new 2008 Full Season, A Plan and B Plan Licensees. All Tickets are subject to availability. This opportunity to purchase can only be exercised on-line via www.yankees.com. The following sets forth the maximum quantity of Tickets per All-Star Summer Event per Ticket Account that may be purchased during the All-Star Pre-On-Sale:
  • Ten (10) Tickets to the Taco Bell All-Star Sunday;
  • Two (2) Tickets to the Gatorade Workout Day (featuring the State Farm Home Run Derby); and
  • Two (2) Tickets to the 79th MLB All-Star Game.

All-Star Game Invoice Due Date: Payment in full must be received on or before Friday, May 23, 2008. In the event that full payment is not received by the posted payment deadline, the offer to purchase All-Star Summer Event Tickets shall be revoked without further notice from the Yankees. The Yankees are not responsible for any delays or payments lost by the postal service, DHL, UPS, FedEx or any other similar or dissimilar delivery service. Please be advised that the payment deadline will be strictly enforced.

All- Star Week On-line Invoice Payments: Beginning in late April, 2008, you will have the opportunity to pay for your 2008 All-Star Summer Event Tickets on-line by simply accessing your "My Yankees Account" at www.yankees.com. On-line payments will require you to enter your Account Number and a Pin. If you do not know your "My Yankees Account" password, please click on "Forgot Your Password?" and follow the on-line instructions.

On-line Tracking: Commencing on or about June 20, 2008, you may track your All-Star Ticket package, on-line, by visiting our website at www.yankees.com and clicking on the link labeled "All-Star Ticket Package Tracking." When prompted, enter your Account Number and zip code in the respective areas and click "Track" and all available tracking information will appear. (Your Account Number is located above the Account Name on the invoice.) Payment Options: Payments may be made by personal/company check, money order, MasterCard, Visa or American Express. The Yankees prefer MasterCard.

Resale of Tickets: Any direct or indirect sale, resale, auction, assignment or transfer collectively, "resale" of Tickets must be done in accordance with applicable law. Any resale or attempted resale in violation of applicable law violates the License. New York State law prohibits the resale of any Tickets within one thousand five hundred feet from the physical structure of the Stadium under penalty of law. No Tickets may be used for advertising, promotion including contests, giveaways or sweepstakes, or other trade or commercial purposes without the express written consent of the Yankees. Any violation of the License shall give the Yankees the unrestricted right to revoke this License, terminate this License and/or cancel the Ticket Account immediately. The Licensee is absolutely responsible for any violation of the License and should safeguard the Tickets so that the License is not violated. The Yankees reserve the right to investigate violations of the License. The failure of the Licensee or any person in possession of the Tickets to cooperate with any investigation constitutes a violation of the License.

Refunds: If an All-Star Summer Event is cancelled, not rescheduled and does not take place (the "Cancelled Event"), the face value or established price for the ticket (i.e., the price fixed at the time of first sale by the Yankees and/or MLB and printed or endorsed on the ticket) for such Cancelled Event will be AUTOMATICALLY REFUNDED TO ONLY THE PURCHASER WHO PURCHASED THE TICKET, VIA FIRST SALE, FROM THE YANKEES, MLB OR TICKETMASTER. REFUNDS WILL BE MADE VIA THE SAME METHOD OF PAYMENT. DO NOT return tickets for Cancelled Events -ticket have no cash value. Please allow 4-6 weeks for refund processing. Notwithstanding the foregoing, refunds will be issued according to procedures and policies that the Office of the Commissioner of Baseball may announce in its sole and absolute discretion and as shall be set forth at www.yankees.com or www.allstargame.com.

Will Call/Drop Offs: There will be no Will Call/Drop-Offs for any Tickets to any All-Star Summer Event(s).

Ticket Forwarding: You can send your Tickets to an All-Star Summer Event to anyone, up to 45 minutes before such All-Star Summer Event game, via Ticket Forwarding. This service allows you to e-mail Tickets to friends, family members and clients. Simply login to your "My Yankees Account," and select the Tickets you wish to send, enter the recipient's information and forward. It's so easy - you don't even need to have the Tickets in hand.

Lost/Stolen/Replacement Tickets: Lost Tickets: Tickets are valuable items. Accordingly, MLB and the Yankees recommend that the Licensee keeps them in a secure place. Lost Tickets will be replaced only under such terms and conditions established by MLB and the Yankees (each in its sole and absolute discretion) and ONLY to the Licensee. If Tickets are lost, left at home, or incorrect Tickets are presented, replacement Tickets must be purchased. ONLY the Licensee will be permitted to purchase replacement Tickets. A non-refundable $5.00 per Ticket processing fee will be charged for each replacement Ticket. Stolen Tickets: Stolen Tickets will only be replaced upon presentation of an official police report acceptable to MLB and the Yankees and only then at no cost. Replacement Tickets: Replacement Tickets may not be exchanged and will not be replaced if lost or stolen.

Yankees Charity Ticket Program: The Yankees are proud to team up with Big Brothers Big Sisters of New York City ("BBBS"), to offer our valued Licensees a program that permits Licensees to donate any of their All-Star Week Tickets. The Yankees Charity Ticket Program will permit the donation of Tickets, via Ticket Forwarding, to BBBS with just a few clicks of a mouse. For complete information, please visit www.yankees.com.
